Terms of Service

These Terms of Service ("Terms") govern your access to and use of FurrowTech, operated by Fertility Furrow LLC ("FurrowTech," "we," "us," or "our"), including our website, hardware devices, mobile and web dashboards, and related services (collectively, the "Service"). By creating an account, purchasing hardware, or subscribing to a plan, you agree to these Terms.

1. What We Provide

FurrowTech provides precision agriculture hardware (field sensor nodes, gateways, valve controllers) and a companion software platform that collects, transmits, and displays soil, weather, and irrigation data to help you make farm management decisions. We offer both one-time hardware purchases and recurring software subscriptions (Monitor, Intelligence, and Enterprise plans, as described on our pricing page), as well as optional AI-assisted features on eligible plans.

Agricultural recommendations, alerts, and automation outputs are decision-support tools only. You remain responsible for all farming decisions, regulatory compliance, water rights, chemical applications, and crop outcomes.

2. Accounts

  • You must be at least 18 years old and able to form a binding contract.
  • You must provide accurate registration information and keep it up to date.
  • You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
  • We may suspend or terminate accounts that violate these Terms or pose a security risk.

3. Subscriptions and Billing

  • Subscription plans are billed monthly in advance through our payment processor, Stripe.
  • Prices, billing intervals, and included features are shown on our plans page or in your order confirmation.
  • Subscriptions renew automatically until canceled. You may cancel at any time through your account dashboard, billing portal, or by contacting us; cancellation takes effect at the end of the current billing period.
  • Hardware purchases are one-time charges and are separate from any subscription fee.
  • We do not offer refunds for partial subscription periods, except where required by law.
  • We may change subscription pricing with at least 30 days' notice to active subscribers. Continued use after a price change constitutes acceptance of the new price for subsequent billing periods.

4. Hardware and Data Accuracy

FurrowTech hardware is designed to provide useful field data but, like all sensor equipment, may be affected by environmental conditions, connectivity issues, calibration drift, or hardware failure. The Service may continue to operate locally on edge devices when internet connectivity is limited, but cloud features require network access.

You acknowledge that sensor readings and platform recommendations are decision-support tools, not guarantees, and that irrigation, planting, or other farm management decisions remain your sole responsibility. To the fullest extent permitted by law, FurrowTech is not liable for crop loss, yield loss, or other damages arising from reliance on sensor data, connectivity outages, or hardware malfunction.

You are responsible for proper installation, maintenance, and safe operation of field equipment, including valves, sensors, and electrical components. Hardware may be sold, leased, or provided under a separate agreement or quote; title, warranty, and support terms will be specified in your order or contract.

5. Acceptable Use

You agree not to:

  • Reverse-engineer or tamper with FurrowTech hardware or firmware in a way that endangers other users or the network
  • Interfere with the Service or attempt unauthorized access to other users' accounts or data
  • Use the Service for any unlawful purpose or in violation of third-party rights
  • Upload malicious code or attempt to disrupt our infrastructure
  • Resell or sublicense the Service except as expressly permitted in writing

6. Data and Privacy

Our collection and use of personal and field data is described in our Privacy Policy, which is incorporated into these Terms. You represent that you have the rights necessary to provide field location, sensor, and operational data uploaded to the Service.

You retain ownership of your field data. You grant us a license to host, process, display, and use aggregated or de-identified data as needed to operate and improve the Service.

7. Intellectual Property

FurrowTech retains all rights to its software, firmware, hardware designs, documentation, branding, and trademarks. Purchasing hardware grants you a license to use the device with our platform; it does not transfer ownership of any underlying intellectual property.

You receive a limited, non-exclusive, non-transferable license to use the Service for your internal agricultural operations during an active subscription or authorized trial.

8. Third-Party Services

The Service integrates with third-party providers such as Stripe, Supabase, OpenAI, and email delivery services. Your use of those services may be subject to their separate terms and policies.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee uninterrupted operation, error-free automation, specific crop yields, water savings, or prevention of crop loss, equipment damage, or regulatory violations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FURROWTECH AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST CROPS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

11. Indemnification

You agree to defend, indemnify, and hold harmless FurrowTech from claims arising out of your use of the Service, your field operations, your violation of these Terms, or your violation of applicable law.

12. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your account for violation of these Terms, non-payment, or if continued provision of the Service becomes impractical or unlawful. Sections that by nature should survive termination will survive, including payment obligations, disclaimers, limitations of liability, and indemnification.

13. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in Brazos County, Texas, and you consent to their jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. We will post the revised version with an updated "Last updated" date. Material changes may also be communicated by email or in-product notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
